SOCIAL RESPONSIBILITY

Commitment to Helping Combat Human Trafficking, Child or Involuntary Labor and Worker Abuse While Scotch & Soda does not own any of its own manufacturing facilities, Scotch & Soda believes it is very important to continually try to assess, understand and, where needed and appropriate, positively affect the working conditions which exist for those people who work on Scotch & Soda product. Part of our efforts in this regard are designed to help ensure that contract factories which work on Scotch & Soda product are compliant with local labor laws and that we are doing our part to combat child labor, slavery and human trafficking. Such efforts include, but are not limited to, the following:

  • Conducting routine audits of contract factories through the use of a hired and experienced outside third party--these audits focus on employee working conditions, specifically (among other concerns): working environment, human rights, worker age documentation, wage issues, working hours, safety and discrimination;
  • Scotch & Soda is a participating member of the United States government's Customs-Trade Partnership Against Terrorism (C-TPAT) program, which is designed to certify and validate members' physical supply chain safety and documented processes;
  • Implementing a procedure for the inbound transportation and receipt of international shipments that is in accordance with the United States government's Customs-Trade Partnership Against Terrorism (C-TPAT) program, which consists of routine tracking and inspection for contraband and human trafficking; In addition to our trucking companies using great diligence and reporting during their cargo inspection, we also train our own distribution team members on imported cargo inspection, which we also perform periodically during the year simultaneous to, and in conjunction with, the trucking companies' inspection;

Scotch & Soda vendor suppliers are asked to sign our purchase agreement (which includes acknowledgment of Scotch & Soda's Vendor Business Ethics Policy and Scotch & Soda's Vendor Manual), which (among other requirements) requires their compliance with all local labor laws, forbids the use of child and involuntary labor of any kind, forbids the use of physical or mental abuse, requires they are subject to our routine social compliance audits and requires that their contracting facilities are also similarly bound to the above requirements; and Scotch & Soda FOB suppliers are required to complete a detailed Security Questionnaire and are provided with a Best Practices Manual (both relating to cargo security) during their vendor on-boarding process.

If any social compliance audits required of our vendors' contract factories report a failure or a need for corrective action, Scotch & Soda and its vendor follow up with the offending supplier to ensure that the problem has been remedied. If any such failure is not remedied, Scotch & Soda will not work with the offending factory/supplier until remedied. Both Scotch & Soda and its auditing contractor maintain updated records, and for a certain period of time, in order to help ensure the integrity of this process.

Scotch & Soda also encourages its employees and management who have direct responsibility for supply chain management to obtain training on how to mitigate risk associated with human trafficking and slavery. Such training includes attending supply chain seminars and webinars offered by independent companies.

CONFLICT MINERALS POLICY

Scotch & Soda is working to ensure compliance with Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act (the "Act"). The purpose the Act is to address and eliminate the violent conflict in the Democratic Republic of the Congo and its neighboring adjoining countries (the "Covered Countries") where armed groups are using local mining proceeds to fund regional conflict and engage in human rights abuses. The Act currently defines Conflict Minerals as: columbite-tantalite (tantalum), cassiterite (tin), wolframite (tungsten), and gold ("Conflict Minerals"). This list may expand to include other minerals or their derivatives, as determined by the U.S. Secretary of State.

Pursuant to the Act as well as other related rules of the U.S. Securities and Exchange Commission (the "SEC"), publicly traded companies, like Scotch & Soda, are required to annually report to the SEC, the presence of any Conflict Minerals, originating in the Covered Countries, in the products it manufactures or contracts to manufacture and whether the Conflict Minerals are necessary to the functionality or production of the products. Scotch & Soda is working on a due diligence program, consistent with the OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas, to meet these regulatory requirements.

Scotch & Soda expects the vendors who are part of our supply chain to comply with our due diligence program by providing complete and timely responses to surveys and other inquiries. Scotch & Soda encourages those involved in our supply chain to adopt similar policies and systems to help eliminate illegal mineral trade, regional conflict in the Covered Countries, and human rights abuses. Scotch & Soda is committed to sourcing our materials from companies who share our values of social responsibility and is working diligently to ensure full compliance with the Act.

GENERAL INFORMATION

The Terms constitute the entire agreement between you and Scotch & Soda and govern your use of the Site, superseding any prior agreements between you and Scotch & Soda. You also may be subject to additional terms and conditions that are applicable to certain parts of the Site.

You agree that no joint venture, partnership, employment, or agency relationship exists between Scotch & Soda and you as a result of this Agreement or your use of the Site.

Any claim or cause of action you may have with respect to Scotch & Soda or the Site must be commenced within one (1) year after the claim or cause of action arose.

The failure of Scotch & Soda to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

You may not assign the Terms or any of your rights or obligations under the Terms without our express written consent.

The Terms inure to the benefit of Scotch & Soda's successors, assigns and licensees. The section titles in the Terms are for convenience only and have no legal or contractual effect.

SMS Marketing:

By consenting to Scotch & Soda’s SMS marketing in the checkout and initializing a purchase or subscribing via our subscription tools, you agree to receive recurring text notifications (for your order, including abandoned checkout reminders), text marketing offers, and transactional texts, including requests for reviews from us, even if your mobile number is registered on any state or federal do-not-call list. Message frequency varies. Consent is not a condition of purchase.

Arbitration and Class Action Waiver Agreement:

  • Arbitration:
  • By using or purchasing Scotch & Soda products or services, you agree that any controversy, claim, action, or dispute between you and Scotch & Soda arising out of or relating to: (a) these Terms, or the breach thereof; or (b) your access to or use of Scotch & Soda’s website or the services or the materials; or (c) any alleged violation of any federal or state or local law, statute or ordinance (each such controversy or claim, a “Claim”), shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association in accordance with its applicable rules.

    Arbitration is a form of dispute resolution in which parties agree to submit their disputes and potential disputes to a neutral third person (called an arbitrator) for a binding decision, instead of having such dispute(s) decided in a lawsuit, in court, by a judge or jury trial. The arbitrator is obligated to issue a reasoned award in writing, including all findings of fact and law upon which the award was made. The arbitrator shall not have the power to commit errors of law, and the arbitrator’s award may be vacated or corrected through judicial review by a court of competent jurisdiction. Each party’s attorneys’ fees, expert costs, and other costs and expenses incurred in connection with arbitration will be borne by the party incurring such costs and expenses.  

  • Arbitration Procedures:
  • Claims shall be heard by a single arbitrator. Arbitrations shall be held in Orange County, CA, USA, but the parties may choose whether to appear in person, by phone, or through the submission of documents.  The arbitration shall be governed by the Federal Arbitration Act (“FAA”) and by the internal laws of the state of California without regard to conflicts of laws principles. Any disputes in this regard shall be resolved exclusively by an arbitrator. If, but only if, the arbitrator determines the FAA does not apply, New York law governing arbitration agreements will apply. All disputes with respect to whether the foregoing mutual arbitration provisions are unenforceable, unconscionable, applicable, valid, void or voidable shall be determined exclusively by an arbitrator, and not by any court.

  • Exclusion from Arbitration:
  • Notwithstanding the terms of this Arbitration Agreement, you may choose to pursue a Claim in court and not by arbitration if you opt-out of these arbitration procedures within 30 days from the date that you first purchase any of Scotch & Soda’s products or services (the “Opt-Out Deadline”). You may opt out by mailing a written notification to 866 Broadway, New York, NY 10003. Your written notification must include (1) your name, (2) your address, and (3) a clear statement that you do not wish to resolve disputes through arbitration. Your decision to opt-out will have no adverse effect on your relationship with Scotch & Soda. You are responsible for ensuring Scotch & Soda’s receipt of your opt-out notice, and you therefore may wish to send a notice by means that provide a written receipt.  Any opt-out request received after the Opt-Out Deadline will not be valid and you must pursue your Claim in arbitration.

  • Class Action Waiver:
  • You and Scotch & Soda agree that you may bring or participate in Claims against Scotch & Soda only in your respective individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.  Unless both you and Scotch & Soda agree otherwise in writing, the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated and may not otherwise preside over any form of a representative or class proceeding. Notwithstanding any other clause contained in this Agreement, any Claim that all or part of this Class Action Waiver is unenforceable, unconscionable, void or voidable may be determined only by a court of competent jurisdiction and not by an arbitrator.
